The name of this organization shall be Whispering Pines Golf Club.
First: To stimulate interest in golf by bringing together a group of people desirous of forming a golfing organization. Second: To promote and foster among its members a closer bond and fraternity for its joint and mutual benefit, and to promote and conserve the best interests and true spirit of the game of golf as embodied in its ancient and honorable traditions. Third: To enforce uniformity in the rules of the game by creating a representative authority. Fourth: To maintain a uniform system of handicapping as set forth in the regulations of the Southern California Golf Association. Fifth: To afford a convenient and authoritative body to govern club tournaments and affairs.
Section 1. Membership shall be available to all people 18 years of age or older. Section 2. Memberships are individual and non-transferable. Section 3. Membership confers no voice or special privileges in connection with any golf course or organization other than Whispering Pines Golf Club. Section 4. Memberships in the Club are for an entire year in coordination with the SCGA membership dates. Section 5. The fiscal year for the Club shall be a calendar year. Section 6. Each candidate for membership shall be by application. The Board of Directors reserves the right to deny membership with a majority negative vote. Section 7. Potential new members, participating as guests, may do so a total of three (3) times. Guests are not eligible for prize money and will play with their member sponsor. Residents who were previous members may not play as a guest. Section 8. The Board of Directors may confer honorary memberships upon those whom they feel have made significant contribution to the Club. The unanimous affirmative vote of the board shall be required to approve such action. Section 9. In the event any member of this organization shall commit any act which reflects discredit or disrepute thereon, or shall refuse or neglect to comply with the rules and regulations adopted by the Board of Directors or the duly appointed officers, such member shall be subject to suspension or expulsion after ten days' written notice and the right to be heard, by a vote of two-thirds of the Board of Directors at any regular meeting or special meeting called for such purpose. Section 10. The annual meeting of the Whispering Pines Golf Club shall be held at the call of the President between October 1 and December 31 of each year. Members will be notified 30 days prior to the meeting. Special meetings will be at the call of the President. Section 11. A legal quorum at any Club meeting shall be 25% of its membership. Each active member in good standing shall be entitled to one vote. Section 12. All membership fees and dues shall be established by the Board of Directors. The fees and dues may be adjusted from time to time in such amounts as the board deems to be adequate to operate and maintain the Club. Section 1. The Board of Directors shall consist of seven positions and/or members in good standing of the Whispering Pines Golf Club, and they shall exercise all powers of the management of the Club not specifically excepted by these Bylaws. Section 2. Any member wishing to place his name on the ballot for election to the Board of Directors must notify the Secretary in writing at least 30 days prior to the annual meeting. In the event there are no vacancies or applications for the board, no ballots shall be prepared, and the existing board will remain in place for the following year. Section 3. Voting shall be by written ballot, and those names receiving the greatest number of votes cast shall be declared to be elected. The votes shall be collected, counted and verified by the Election Committee. Section 4. The Board of Directors shall meet at such time and place as they may select, and a majority of the board shall constitute a quorum at any meeting. Section 5. In the case of any vacancy through death, resignation, disqualification or other cause, the President shall appoint a successor for the unexpired term of the director whose place shall be vacant until the election of his/her successor. Section 1. Within ten days after the Annual Meeting and election, the Board of Directors shall meet and elect the seven officers. Section 2. The officers shall consist of President, Tournament Director, Secretary, Treasurer & Membership Chairman, Rules Chairman, Handicap Chairman, and Website Communications Director; and their duties shall be such as their title would indicate or such as may be assigned to them, respectively, from time to time. Section 3. The Board of Directors shall authorize and define powers and duties of all committees. Chairmen and members of all committees shall be appointed by the President, and the President shall be an ex-officio member of all committees, except the Election Committee. Section 4. The following committee(s) shall be appointed each year, with other such committees as the Board of Directors may deem necessary or advisable: * Election Committee (if necessary) - to collect, count and verify votes for the Board of Directors.
Section 1. The Board of Directors shall have the power, by majority vote, to repeal or amend any of these Bylaws.
